# Alkeari License Agreement (ALA)

### 1. Definitions
- **Licensor**: Alkeari, the sole creator and rights holder of the Work(s).
- **Licensee**: Any person, group, or entity obtaining, using, or distributing the Work(s).
- **Work(s)**: Any digital file, script, executable, archive, mod, configuration, data package, or other electronic material created or distributed by the Licensor.
- **Official Source**: Any distribution channel directly maintained or authorized in writing by the Licensor. All other channels are unauthorized unless explicitly approved in writing.

### 2. Grant of License
The Licensor grants the Licensee a **non-exclusive, worldwide, royalty-free, revocable license** to:
- Use the Work(s) for private, personal, educational, or public purposes.
- Include unmodified copies of the Work(s) in a collection, package, or distribution (commercial or non-commercial) provided all terms of this Agreement are followed.

### 3. Restrictions
Without explicit written authorization from the Licensor, the Licensee shall not:
- Modify, adapt, or create derivative works of the Work(s).
  - Translations of text-only content are permitted if no binary or structural changes are made and the translation is clearly marked as unofficial.
- Reverse engineer, decompile, or otherwise attempt to extract source code or proprietary components.
- Host, mirror, or provide direct downloads of the Work(s) outside an Official Source, whether as a standalone file or as part of a collection.
- Remove, alter, or obscure author credits, version data, or licensing information.
- Claim ownership or redistribute the Work(s) under a different identity or name.
- Sell, rent, sublicense, or otherwise commercialize the Work(s) beyond what Section 4 permits.

### 4. Distribution in Collections
The Licensee may include the Work(s) as part of a larger collection, toolkit, or package only if:
- The Work(s) remain unmodified and retain all original metadata and this license file.
- The distribution credits Alkeari as the creator and links to an Official Source.
- The Work(s) are not independently hosted or redistributed outside the collection.
- Upon written request from the Licensor, the Licensee removes and deletes the Work(s) within **seven (7) days**.

### 5. Commercial Use
Commercial inclusion is permitted provided that:
- The Work(s) remain unmodified and attribution to Alkeari is maintained.
- All terms of this Agreement are followed.
- The Licensor reserves the right to revoke permission for any use or distribution by written notice. Upon such notice, the Licensee must cease all distribution and remove all copies within **seven (7) days**.

### 6. Source Integrity
The only verified distributions of the Work(s) are through Official Sources. Unverified or mirrored copies are unauthorized and must be deleted immediately upon discovery.

### 7. Revocation & Termination
The Licensor may revoke or terminate this license at any time, for any reason. Upon notification, the Licensee must:
- Cease all use and distribution immediately.
- Permanently delete all copies of the Work(s), including backups, within **seven (7) days**.

Violation of any condition in this Agreement automatically terminates the license without further notice. This clause survives termination.

### 8. Disclaimer of Warranty
THE WORK(S) ARE PROVIDED "AS IS," WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. The Licensor does not guarantee that the Work(s) will function without interruption, error, or incompatibility. The Licensee uses the Work(s) entirely at their own risk.

### 9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR OPPORTUNITY, ARISING FROM USE OF OR INABILITY TO USE THE WORK(S). The Licensor's total liability shall not exceed the greater of one U.S. dollar (USD $1.00) or the amount paid directly to obtain the Work(s), if any.

### 10. Support & Contributions
The Licensor is under no obligation to provide updates, maintenance, or technical support. Bug reports and suggestions may be submitted through any official contact channel recognized by the Licensor. Submitted contributions do not confer co-ownership or contributor rights unless agreed to in writing.

### 11. Governing Law
This Agreement is governed by the laws of the **State of Tennessee, United States**, without regard to conflict of law principles. Any dispute falls under the exclusive jurisdiction of the courts in Davidson County, Tennessee.

### 12. Entire Agreement
This Agreement represents the full and final terms between the Licensor and Licensee regarding the Work(s). If any clause is deemed invalid or unenforceable, the remaining clauses remain in effect. No modification or waiver is valid unless made in writing and signed by the Licensor.
